Terms of Service

Last updated October 18, 2026.

The short version

  • MNGMT is the personal assistant with a link. It talks to people for you and handles whatever you hand it. It always says it is your manager, never you.
  • You own what you put in. We use it to run, protect and improve MNGMT for you, never to advertise or to sell, and we do not train AI on it. You can export it or delete your account at any time.
  • Your handle is yours to use, not to own. No impersonating anyone, no hoarding names and no selling them. We can take a handle back for those reasons, for rights claims, for safety, or when it goes unused after doors open.
  • Your manager is built to share only what you approved, and you are responsible for what you approve. AI makes mistakes, so check what matters.
  • MNGMT is not a doctor, trainer, financial adviser or lawyer. Check anything important with one.
  • There is a free plan, and what it includes may change. Pro is $19.99 a month or $199 a year, and Max is $99 a month or $990 a year. Paid plans renew until you cancel, you can cancel online at any time, and they come with fair-use limits. A 7-day trial of Pro or Max needs a card and turns into a paid plan unless you cancel before it ends. We email you before that charge.
  • Joining the waitlist is free.
  • Disputes go to individual arbitration, not class actions or juries, unless you opt out within 30 days. Small claims court is always an option.
  • MNGMT is new and still changing. It comes as it is, and our liability is limited. Questions? Email us at privacy@mngmt.app.

This summary is here to help. The full terms below are what apply.

1. Who we are and what these terms cover

MNGMT is made and run by The Saint Agency LC (“we”, “us”, “our”). These Terms of Service (“terms”) are an agreement between you and The Saint Agency LC. They cover the MNGMT apps and website, mngmt.app and every page on it, the waitlist, your account, your handle and your public page, and every other part of MNGMT we offer (together, “MNGMT”).

By joining the waitlist, creating an account, or otherwise using MNGMT, you agree to these terms. If you do not agree, please do not use MNGMT.

Please read Arbitration below. Unless you opt out within 30 days, you and we agree to settle disputes through individual arbitration instead of in court, and to give up class actions and jury trials. Small claims court stays open to both of us.

If you use MNGMT on behalf of a business or another organization, you confirm you are allowed to accept these terms for it, and “you” includes that organization.

People who visit a public MNGMT page, or whose AI agents talk to one, are using MNGMT too. By sending a message to someone’s MNGMT page, you agree to these terms, including the parts about acceptable use, disclaimers, limitation of liability, disputes and arbitration. If your AI agent sends it, you are responsible for what it sends.

2. Who can use MNGMT

You must be at least 18 years old, and an adult where you live, to use MNGMT. This applies to the waitlist, accounts and public pages alike.

MNGMT is not made for anyone under 18, and we do not knowingly collect personal information from them. If we learn that someone under 18 has given us personal information, for example by joining the waitlist, we will delete it and close the reservation or account. If you believe someone under 18 has used MNGMT, email us at privacy@mngmt.app.

You may not use MNGMT if we have previously ended your account for breaking these terms, if the law prohibits you from using it, or if you are in a country under US embargo or on a US government list of restricted parties.

When you join the waitlist or create an account, you confirm that you meet these requirements.

3. Your account and signing in

Your account is tied to your email address. To sign in, we email you a one-time code and a sign-in link. Anyone who can read your email can sign in to your account, so keep your email secure and do not share your codes or links.

Give us an email address you control and keep it current. One account is for one person or one organization.

You are responsible for what happens in your account. If you think someone else has got in, sign out of every device from MNGMT and tell us right away, and we will help.

4. The waitlist and reservations

Before MNGMT opens to everyone, you can join the waitlist by choosing a handle and giving us your email. This is a reservation of that handle, and only that.

  • A reservation is not an account, and it does not give you access to MNGMT. We invite people in from the waitlist in waves, in the order and at the pace we choose.
  • A reservation is not a purchase. Reserving a handle is free and does not commit you to buy anything, and nothing is sold before launch.
  • One handle per email address. Using several email addresses, including variations of the same address, to reserve several handles counts as hoarding (see Handles).
  • Your place on the waitlist (for example, number 213 of 1,000) shows when you joined. It is not a promise of when you will get in.
  • We do not promise a date when doors open, and any date we mention is a plan, not a commitment.
  • If you share your referral link and people join through it, we record that, and we may consider it when we decide the order of invitations. Referrals earn no other reward unless we tell you so in writing. If you ever get or expect a reward for sharing, you must say so clearly whenever you share your link.
  • When doors open, we will email you your invitation at the address you gave us.

We may change how the waitlist works, pause it, or end it, at any time. Reserved handles are subject to everything in the Handles section, including the reasons we may release one.

On the waitlist we count visits and actions on the page, and we test different versions of it. When you reserve a handle, we store it with your email, the version of the page you saw, the campaign link you came from, who referred you, and when you joined. We use cookies to remember these, and your IP address to prevent abuse. Our Privacy Policy explains this in more detail.

5. Handles

Your handle is your address on MNGMT: mngmt.app/yourname. It is how people and their AI agents find your manager, so it matters to you and to everyone who uses it to reach you. These rules keep handles fair, honest and safe.

You use a handle. You do not own it.

A handle is not your property, and it has no value you can claim or sell. When you reserve or receive a handle, The Saint Agency LC gives you a personal, revocable, non-transferable permission to use it on MNGMT for as long as you have it under these terms. Your handle stays with your account, not with you as a person, and it ends when your account ends.

Holding a handle does not give you any rights in a name, trademark or brand, and getting a handle from us is not our statement that you have a right to that name anywhere else.

How handles are given out

  • A handle has 3 to 30 characters: lowercase letters, numbers and underscores, starting with a letter.
  • One handle per account and per email address.
  • Handles are first come, first served, with the exceptions below.
  • Some names are never available: words MNGMT uses for its own pages and features, administrative and safety words (like “support” or “security”), and names that read as “MNGMT” (ordinary words like “youth” are fine).
  • Names of some well-known platforms and brands, including AI companies, are not available as handles, alone or as part of one, and we may take back any handle that uses a name like that.
  • Some names are held back, and only we can assign them, for example to the person or organization a name clearly belongs to. We do not publish this list. A name may show as taken for any of these reasons.
  • We may decide that any name is not available, or assign a held or reserved name to the person or organization we believe should have it.

No impersonation

Do not use someone else’s name, picture, voice or likeness on your public page, or set up your manager to speak as if it were theirs, without their permission.

Do not use a handle, a name, a picture or anything on your public page to pretend to be another person, a brand, an organization, a public figure or MNGMT, or to suggest a connection with them that does not exist. Fan, commentary and parody pages are allowed only if they say clearly that they are not the real person or brand, and only if the handle would not lead a reasonable person to think it is theirs.

No squatting, trading or selling

  • Do not reserve handles to hold them, to block someone else, or to sell them later.
  • Do not buy, sell, rent, trade or transfer a handle, or offer or ask to, on MNGMT or anywhere else. That includes offering money or anything else for an account because of its handle.
  • Do not reserve handles for other people or use several email addresses to collect handles.

When we may take back, rename or release a handle

We may take back a handle, change it, or release it so someone else can have it, including a handle you reserved on the waitlist. We do this when we reasonably believe it is needed, for example:

  • Impersonation: the handle is used, or was chosen, to pretend to be someone else or to mislead people about who they are dealing with.
  • Trademark and other rights: someone shows us they hold a trademark or another right in the name, and the way the handle is used is likely to confuse people about who is behind it or to infringe that right.
  • Squatting and trading: the handle was reserved to hold it, block someone, or sell it, or someone tried to buy, sell or transfer it.
  • Inactivity: after doors open and we invite you, you do not create your account within a reasonable time, or your account is not used for a long period. Before we release a handle for inactivity, we will email you and give you at least 30 days to sign in and keep it.
  • Legal requests: a court order, a legal requirement, or a valid request from a public authority.
  • Safety and security: the handle puts people at risk, is used for fraud, spam or abuse, or could be mistaken for an official MNGMT address.
  • Breaking these terms in any other way, or a mistake on our side, such as a name that should never have been available.

Where it is reasonable, we will tell you before we act and explain why, and where it makes sense, give you time to respond or offer you a different handle. We may act without notice when the case is serious, when the law requires it, or when telling you first would put someone at risk or help someone get around these rules.

Once a handle is released, we wait at least 90 days before anyone else can have it. After that, links to the old address may reach the new holder. We do not redirect old addresses.

Reporting impersonation or a rights claim

If you believe a handle or a public page impersonates you or your organization, or uses a name you hold a trademark or other right in, email us at privacy@mngmt.app. Tell us the handle, who you are or who you represent, why you believe it is impersonation or infringement, and how we can confirm it, for example an ID check or a trademark registration number. Tell us also that the report is accurate and made in good faith.

We review reports and may ask for more information. We may share the substance of a report with the person who holds the handle, so they can respond. We will not share your contact details with them unless you agree or the law requires it. Sending a report you know is false breaks these terms.

Verification badges

Some accounts carry a verification badge. We give and remove badges ourselves, at our discretion, and no one is entitled to one.

A badge means only that MNGMT confirmed the account belongs to the person or organization it says it does. It is not an endorsement, it says nothing about the quality or trustworthiness of the account, and it is not a guarantee about anything that account or its MNGMT says.

We may remove a badge at any time, for example if the account changes its name or handle, no longer meets our criteria, or breaks these terms. Do not imitate a badge in your name, picture or anywhere on your page.

Deleting your account frees your handle

When you delete your account, your handle is released with it and someone else may claim it. If you only reserved a handle on the waitlist, you can release it with the link in your confirmation email, or email us at privacy@mngmt.app and we will remove the reservation.

6. Your manager acts for you

MNGMT has two sides. The private side is yours: MNGMT keeps track of your life from what you tell it, and it may suggest changes that you approve. The public side is your page at mngmt.app/yourhandle. Once you turn it on, people and their AI agents can talk to your manager there. It answers for you from what you approved, and it brings their requests to you.

You decide what it shares

  • Your manager is built to share only what you have approved for your public side, and only about you. We work to keep the rest private, but no system is perfect, and people may try to trick a manager into saying more. Do not put anything into MNGMT that you could not live with being exposed.
  • You are responsible for what you approve and for the instructions you give it, including that what you approve is true. If something you approved is false or harms someone, that is your statement, not ours. You may not set up your manager to make statements about other people.
  • Only approve information you have the right to share. Do not approve other people’s private information without their permission.
  • Anything you approve for your public side can be seen by anyone, including AI agents, who can copy it. If you later remove it, we cannot recall copies others already made. A live public page can be found by search engines and read by AI agents and crawlers, which may keep, index or learn from what it shows.
  • Messages people send to your manager are theirs as well as yours to look after. Use them only to deal with the request.

It is always your manager, never you

When your manager answers people, it says it is your manager. It never pretends to be you or to be a human, and you may not instruct it, or set it up, to do so.

Your manager is made to pass requests to you, not to agree to things for you. It does not sign contracts, accept offers or make payments in your name, and it may not accept, confirm, hold, price or promise anything for you, such as dates, fees, availability or response times, unless you approved that exact statement. MNGMT is software, not a licensed talent agent, manager or broker. If you decide to take up a request, that decision, and any agreement that follows, is yours.

AI makes mistakes

MNGMT uses AI, and AI can be wrong, incomplete or out of date, including about you. Your manager may misunderstand a request, miss one, or answer in a way you would not have. Review what matters before you rely on it, and check anything important it tells you or tells others.

Health, money and other advice

MNGMT is not medical, fitness, nutrition, skin care, mental health, financial, tax or legal advice, and nothing MNGMT says, builds or reminds you about is. It does not know your medical history and cannot examine you.

Talk to a doctor before you start a new exercise, diet or weight program or a new skin treatment, and stop and get help if something hurts or feels wrong. You take part in any activity MNGMT helps you plan at your own risk.

Money totals, categories and summaries in MNGMT are only as good as what you entered, and AI can add up or sort things wrong. Do not put full card numbers, bank logins or government ID numbers into MNGMT outside the vault.

MNGMT is not an emergency service and may not reach you in time. In an emergency, call 911 or your local emergency number. In the US, you can call or text 988 in a mental health crisis.

Reminders from MNGMT can appear on your lock screen or other devices where others may see them. You choose which reminders you get, and you can turn them off.

If you are talking to someone’s manager

When you message someone’s manager, you are talking to software acting for that person, not to the person. What you send, including your name and any email you give, goes to that person, is kept in their account, may be read by AI apps they connected, and is processed by our AI providers. Do not send anything sensitive, such as health, financial or account details. If you are under 18, do not send messages to a MNGMT. Its answers come from what its owner approved; neither the owner nor we promise they are complete or correct, and a reply is not a commitment by its owner.

Reporting a public page or an answer

If someone’s manager said something about you that is false, private or harmful, or a public page breaks these terms, email us at privacy@mngmt.app. Tell us the handle, what was said, roughly when, and why it is wrong. Anyone can report, whether or not they use MNGMT. We may correct or remove the content, change what that MNGMT can answer, or take the page offline while we look.

7. Connected AI apps

You can connect other AI apps, such as Claude or ChatGPT, to your manager so they can work with it. You approve each connection yourself, and you can disconnect any of them at any time from MNGMT; a disconnected app stops reaching MNGMT right away.

While connected, an app can read everything in your manager except your vault, and make changes to it. Only connect apps you trust, and check what they do.

Those apps are made by other companies, and their own terms and privacy policies apply to how you use them. We are not responsible for them or for what they do with the information they get from your manager. Claude, ChatGPT and other product names belong to their owners, who are not affiliated with MNGMT and do not endorse it.

8. Your content and your data

You own what you put into MNGMT: what you tell it, what you upload, and what you approve for your public side (your “content”). These terms do not give us ownership of it.

To run MNGMT, we need your permission to handle your content. You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit and display your content, only as needed to provide, secure and support MNGMT for you, and to do what you ask, such as showing what you approved on your public page or sharing with a connected app you approved. This license ends when your content is deleted, except for copies we must keep by law or that others already received through your public side.

We use other companies to help run MNGMT: hosting and databases, email delivery, AI model providers, payments, and the push services built into your browser or phone. They may use your information only to provide their service to us, under contracts that limit what they can do with it. Our Privacy Policy lists them.

You confirm that you have the rights needed to put your content into MNGMT and to share what you approve, and that doing so does not break the law or anyone else’s rights. If you put other people’s personal information into MNGMT, such as clients, contacts or people you meet, you are responsible for having the right to do so and for how you use it.

AI and your content

We do not use your content to train AI models, ours or anyone else’s, and we do not sell it or use it for advertising. When MNGMT uses an AI model, we send the parts of your content a request needs to the model provider only to get an answer for you, with settings that tell the provider not to keep it and not to train on it. If we ever want to use content to improve MNGMT’s AI, we will ask you first, and saying no will not change how MNGMT works for you. Connected AI apps and the AI agents of people who visit your public page are not ours; their own terms decide what they do with what they receive.

Body and health information

Information about your body, fitness, health or habits, such as weight, workouts, sleep or skin, and anything MNGMT works out from it, is health information. We collect it only when you choose to log it or tell MNGMT. We never sell it, never use it for advertising, and share it only with the providers that help run MNGMT, with a connected app you approve, or on your public page if you approve it there. You can delete any of it at any time.

Security and the vault

We protect your information with reasonable safeguards, but no service is perfectly secure. If a security incident affects your personal information, we will tell you, and the authorities, as the law requires.

What you put in the vault is encrypted on your device with a passphrase only you know, before it reaches us. We cannot read it, and we cannot reset or recover your passphrase. If you forget it, what is in the vault is gone for good. Keep your own backup.

We share your information with public authorities only when we believe the law requires it, such as a valid subpoena, court order or warrant, or when we believe it is needed to prevent death or serious harm. When the law allows, we will tell you first. We cannot read your vault, so we cannot hand over what is in it.

Export and deletion

You can export your data from MNGMT at any time while you have an account (your vault exports separately, still encrypted). When you delete your account, we delete your account, your handle and all the content in it. We may keep a minimal record that an account was deleted, with no content, and information we are required to keep by law. Copies in backups may take a limited time to be removed.

Privacy

Our Privacy Policy explains what personal information we collect, how we use it, who we share it with, how long we keep it, and the choices you have. If these terms and the Privacy Policy ever seem to disagree about personal information, the Privacy Policy wins.

MNGMT is run from the United States, and your information is stored and processed there and wherever our providers operate. Where the law of the place you live requires safeguards for that, we use them, as the Privacy Policy explains.

Feedback

If you send us ideas or suggestions about MNGMT, we may use them without owing you anything.

We respond to notices of copyright infringement under the US Digital Millennium Copyright Act. If you believe something on MNGMT infringes your copyright, email us at privacy@mngmt.app with your signature, the work you believe was infringed, the handle and where the content appears, your contact details, a statement that you believe in good faith the use is not authorized by the owner, its agent or the law, and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or allowed to act for the owner.

If your content was removed and you believe it was a mistake, you can send us a counter-notice as the law allows. We end the accounts of people who repeatedly infringe.

9. Acceptable use

Use MNGMT lawfully and with respect for other people. You may not, and may not help or ask anyone else (or any AI) to:

  • break the law, or help someone else break it;
  • harass, threaten, bully, stalk or intimidate anyone, or promote violence or hatred against people for who they are;
  • impersonate anyone, or mislead people about who they are dealing with;
  • send spam, bulk or unwanted messages, including to other people’s MNGMT pages;
  • try to get someone’s manager to reveal what its owner has not approved, or to act against its owner, for example with hidden or misleading instructions;
  • share sexual content involving anyone under 18, intimate images of anyone without their consent, or content that exploits or endangers children;
  • post or share content that infringes someone’s copyright, trademark, privacy or other rights;
  • collect personal information about others without a lawful right to do so;
  • access MNGMT by automated means except through the ways we provide for it (such as the public side, which AI agents may use, and approved connections), or overload, scrape or disrupt MNGMT;
  • probe, scan or test our systems for weaknesses, or get around any security, rate limit, usage limit or plan limit;
  • upload malware or anything meant to harm MNGMT, its users or their devices;
  • copy, reverse engineer or resell MNGMT, except where the law gives you a right to do so that cannot be limited;
  • use MNGMT to make decisions with legal or similarly serious effects on other people without human review, or for any use where a mistake could lead to death, injury or serious harm.

We may remove content, limit features, or suspend accounts that break these rules (see Ending your use of MNGMT).

10. Free, Pro, Max and trials

Free

Paid plans and trials may not be open to everyone at once. Before you start any paid plan or trial, we show you its price, what it includes and how renewal and cancellation work, and you choose it yourself.

Free gives you the core of MNGMT, with no payment method needed, and a weekly allowance of AI work. Every plan has a weekly allowance. When you reach it, MNGMT keeps working with a simpler AI model until the allowance resets. So that one heavy day cannot use up the whole week, MNGMT may also switch to the simpler model for the rest of a day after very heavy use, and goes back to the usual model the next day. We may change what each plan includes and the size of its allowance.

Pro and Max

Pro costs $19.99 a month or $199 a year, and Max costs $99 a month or $990 a year, in US dollars, plus any taxes that apply. The price and what each plan includes are shown before you buy.

  • Automatic renewal: Pro and Max renew automatically every month or every year, depending on the plan you choose, and we charge your payment method the price then in effect, plus any taxes, until you cancel. Before you buy, we show you the price, how often you will be charged and how to cancel, and we ask you to agree to the renewal. After you buy, we email you the same details.
  • Cancelling: you can cancel at any time online, in MNGMT, without calling or emailing us. Cancelling stops the next renewal; you keep your plan until the end of the period you already paid for, and then your account moves to Free.
  • Founders annual: the first 100 people to choose it get Pro billed yearly at $99 a year for as long as that subscription stays active, with the same 7-day card trial as Pro. If you cancel it, it lapses (for example a payment that is never made good) or you switch to another plan, including Max, the $99 price ends and the regular price of the plan you are on applies. It is offered only while seats remain.
  • Switching: you can switch between Pro and Max, or between monthly and yearly, online in MNGMT. The payment provider works out any difference in price.
  • Refunds: payments are not refundable, except as required by law or where we say otherwise at the time of purchase.
  • Yearly plans: Stripe, our payment provider, emails you a notice before a yearly plan renews.
  • Price changes: we may change prices. We will email you at least 30 days before a new price applies to your plan, and it applies only from your next renewal after that notice. If you do not want to pay the new price, cancel before then.
  • Failed payments: payments are handled by a payment provider, and its terms may also apply. If a payment fails, your account moves to Free right away. Nothing in it is deleted, and your public page keeps working. The payment provider tries your payment method again, and your plan comes back as soon as a payment goes through.

Fair use

Each plan includes a set amount of use, such as how much AI work MNGMT does for you and how many things it can watch and how often. The current limits for each plan are shown in MNGMT and on the pricing page. No plan is unlimited, even where a feature has no limit shown.

Plans are for one person using MNGMT for themselves or their own business. We may slow down, pause or limit use that is far above what that plan is meant for, that is automated or resold, or that puts MNGMT or other people at risk. Where reasonable, we will tell you first and suggest a plan that fits. If we limit a paid plan for a reason that is not your fault, you may cancel and we will refund the unused part of what you paid.

Your free trial

Where we offer it, you can try Pro or Max free for 7 days. A trial needs a payment method when it starts. When the trial ends, we charge the plan and billing period you chose, plus any taxes, and it renews automatically until you cancel, unless you cancel before the trial ends. We will email you a reminder about 2 days before that first charge, with its date and amount. You can cancel online in MNGMT at any time during the trial, and then nothing is charged.

One free trial per person. Each account can have one trial, ever, and we may refuse a trial when the same payment method has already had one. If we refuse one, we cancel it right away and nothing is charged.

If your account started on our earlier free trial with no payment method, that trial ends on the date we gave you, and your account then moves to Free unless you chose a paid plan. We never charge you at the end of that trial.

11. MNGMT is new

MNGMT is in early access. Features may change, be limited, move between plans, or be removed, and some may not work as expected. We may also try new features with some people before others. Some features we talk about are not available yet. A feature is part of MNGMT only once it is live, and it may come with its own terms that you accept before you use it.

Things can go wrong, including, in rare cases, loss of data. Keep copies of anything important, and use export to keep your own copy.

We may change or stop any part of MNGMT at any time. If we stop offering MNGMT altogether, we will give you reasonable notice and a chance to export your data first, unless we cannot for legal or safety reasons.

12. Ending your use of MNGMT

You can stop using MNGMT and delete your account at any time from MNGMT. Deleting your account is permanent: it deletes your content and releases your handle.

We may suspend or limit your account, remove content, or end your account if you break these terms, if your use creates a risk or possible legal exposure for us, other users or anyone else, if the law requires it, or if we stop offering MNGMT. Where reasonable, we will tell you why and give you a chance to fix the problem or export your data first. We may act without notice in serious cases.

If we end a paid plan for a reason that is not your fault, we will refund the unused part of what you paid.

If you believe we made a mistake in suspending or ending your account, or in taking back a handle, email us at privacy@mngmt.app and we will review it.

These parts survive the end of your account: anything you owe us for a paid period, what Your content and your data says about copies others already received and about feedback, MNGMT belongs to us, Disclaimers, Limitation of liability, Indemnity, Governing law and disputes, Arbitration, and The fine print.

13. MNGMT belongs to us

MNGMT, including its software, design and everything we create, belongs to The Saint Agency LC and its licensors. These terms give you a personal, non-exclusive, non-transferable, revocable permission to use MNGMT as these terms allow, and nothing more.

Do not use the MNGMT name or logo in a way that suggests we sponsor or endorse you, without our written permission.

14. Disclaimers

MNGMT is provided “as is” and “as available”. To the fullest extent the law allows, The Saint Agency LC makes no promises or warranties about MNGMT, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any promise that it will be uninterrupted, secure or free of errors, or that anything it or any MNGMT says is accurate or complete.

We are not responsible for what other people, their manager, their AI agents, or connected apps say or do, or for any agreement you make with someone you met through MNGMT.

Some places do not allow some of these disclaimers. Where that is the case, they apply only as far as the law allows, and nothing in these terms limits rights you have as a consumer that cannot be limited by contract. If you live in New Jersey, the limits in Disclaimers and Limitation of liability apply only as far as New Jersey law allows.

15. Limitation of liability

To the fullest extent the law allows, The Saint Agency LC and its owners, employees and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill or data, arising from or related to MNGMT or these terms, even if we were told such damages were possible.

To the fullest extent the law allows, our total liability for all claims arising from or related to MNGMT or these terms is limited to the greater of the amount you paid us for MNGMT in the 12 months before the event that gave rise to the claim, or US $100.

These limits do not apply to our gross negligence, willful misconduct or fraud, or to liability that cannot be limited by law, such as, in some places, liability for death or personal injury caused by negligence.

16. Indemnity

To the extent the law allows, you agree to defend and compensate The Saint Agency LC and its owners and employees for claims, losses and reasonable costs (including legal fees) brought by someone else that arise from your content, what you approved your manager to share or instructed it to do, your handle, your misuse of MNGMT, or your breaking these terms or the law. We will tell you about any such claim and may choose to handle our own defense. This does not apply to the extent a claim is caused by our own fault.

17. Governing law and disputes

These terms, and any dispute about them or MNGMT, are governed by the laws of the State of Georgia, USA and applicable US federal law, including the Federal Arbitration Act, without regard to conflict-of-law rules.

Before starting any formal claim, please email us at privacy@mngmt.app with your name, your handle or email, what happened and what you want, and give us 60 days to try to resolve it informally. We will do the same before bringing a claim against you. Most concerns can be settled this way. The time limit for bringing a claim is paused during those 60 days.

Any dispute that Arbitration below does not cover, or that is not sent to arbitration, will be decided only by the state and federal courts located in Georgia, and you and we agree to the jurisdiction of those courts. Either of us may instead bring an individual claim in small claims court, if it qualifies.

If you live outside the United States, you keep the protection of the mandatory consumer laws of the country where you live, and you may bring a claim in the courts there where those laws give you that right. Arbitration below applies only where the law of the country where you live allows it.

18. Arbitration

Unless you opt out, you and we agree that any dispute between us arising from or related to these terms or MNGMT will be settled by binding individual arbitration, not in court. You and we each give up the right to a jury trial and to take part in a class action, class arbitration or representative action.

What it covers

  • It covers claims of any kind, whether based on contract, statute, fraud, misrepresentation or any other legal theory, including claims that arose before you agreed to these terms.
  • It does not cover: individual claims in small claims court; claims to stop someone infringing or misusing intellectual property, or getting into MNGMT without permission, which either of us may bring in court; and requests for public injunctive relief where the law does not allow giving them up, which go to court after any arbitration of the rest of the dispute.
  • The arbitrator decides whether a dispute is covered, except that a court decides questions about the class action waiver, the mass filing rules and the opt-out.

How it works

  • The American Arbitration Association (AAA) runs the arbitration under its Consumer Arbitration Rules, which are at adr.org. If the AAA cannot, you and we will agree on another provider, or a court will pick one.
  • One neutral arbitrator decides. They can award the same individual relief a court could, but only for the person bringing the claim, and must follow these terms and the law.
  • You can take part by phone, by video or in writing. If there is an in-person hearing, it takes place in the county where you live, unless we both agree otherwise.
  • Fees: your share of filing, administration and arbitrator fees is never more than the AAA Consumer Rules allow for consumers, and we pay the rest. If the arbitrator finds a claim was brought in bad faith or for an improper purpose, fees are decided under the AAA rules.
  • Results are confidential unless the law requires otherwise, or a party needs to confirm or enforce the award in court.

Mass filings

If 25 or more similar claims are brought against us or by us by the same or coordinated lawyers or organizations, they are handled under the AAA Mass Arbitration Supplementary Rules, in batches, so that each claim is still decided individually. Time limits for claims waiting in a later batch are paused until their batch begins.

No class actions

You and we may bring claims against each other only individually, not as a plaintiff or class member in any class, consolidated or representative proceeding. If a court decides this waiver cannot be enforced for a particular claim, that claim, and only that claim, goes to court and not to arbitration, and it is paused until any arbitration of the other claims is finished.

Opting out

You can opt out of arbitration within 30 days of first agreeing to these terms. To opt out, email us at privacy@mngmt.app with the subject “Arbitration opt-out” and your name, your handle and the email you used for MNGMT. Opting out does not change anything else in these terms, and it does not affect your use of MNGMT. If you opt out, disputes are decided as Governing law and disputes above describes.

If this section changes

If we make a significant change to this section, you can reject it by writing to us within 30 days of the change taking effect, and this section as it was before the change keeps applying to you. A change never applies to a dispute you or we had already raised with the other.

19. Changes to these terms

We may update these terms as MNGMT changes, or when the law requires. The date at the top shows when they last changed.

If a change is significant, we will tell you by email or in MNGMT at least 30 days before it takes effect, unless we need to make it sooner for legal, security or safety reasons, and we may ask you to accept the new terms the next time you sign in. If you keep using MNGMT after a change takes effect, the new terms apply. If you do not agree to them, stop using MNGMT and delete your account before then. Changes apply only going forward: a dispute that started before a change is handled under the terms in place when it started.

We will not start using information we already hold in a materially different way, such as for AI training or advertising, without asking you first.

20. The fine print

  • These terms, together with any terms shown to you when you buy a plan and our Privacy Policy, are the whole agreement between you and us about MNGMT.
  • If a court finds any part of these terms cannot be enforced, that part will be enforced as far as the law allows, and the rest stays in effect.
  • If we do not enforce a part of these terms right away, we have not given up the right to enforce it later.
  • You may not transfer your rights under these terms to anyone else. We may transfer ours, for example if The Saint Agency LC reorganizes or MNGMT is sold, and these terms will continue to apply.
  • We are not responsible for delays or failures caused by events outside our reasonable control.
  • No one other than you and us has rights under these terms.
  • We may send you notices by email to the address on your account, or in MNGMT, and they count as received when sent. Legal notices to us must go to privacy@mngmt.app. You agree to receive agreements and notices from us electronically, and that they meet any legal requirement to be in writing.
  • We send emails you need to use MNGMT, such as sign-in codes, your invitation, changes to these terms, and notices about your handle, account or plan. If we ever send news about MNGMT, every such email will have an unsubscribe link, and unsubscribing will not affect your reservation or your account.
